SEC Form 4 Insider Trade Alerts

A public company's recent Form 4 insider buy/sell filings as structured data, live from SEC EDGAR, with plain-English context per transaction.

The problem

Investors, fintech dashboards, and research tools tracking corporate insider activity all need the same raw material: a company's Form 4 filings (officers, directors, and large shareholders reporting trades in their own company's stock), turned into structured, queryable data instead of SEC EDGAR's own filing-by-filing HTML interface.

Who it's for

Fintech dashboards, investment research tools, and individual investors or analysts who want a company's recent insider transactions as structured data instead of reading raw filings.

Use cases

  • Powering an insider-activity feed or dashboard for a specific ticker or watchlist
  • Research: pulling a company's recent Form 4 history programmatically instead of paging through EDGAR
  • Flagging a transaction's context at a glance — for example, a sale its own footnote ties to a Rule 10b5-1 plan

What it does

Send a stock ticker or SEC CIK number and get back that company's recent Form 4 transactions: insider name and role, transaction type and size, price, resulting holdings, whether that transaction's own footnote places it under a Rule 10b5-1 trading plan (false means the footnotes don't say so — not that there was no plan), and a short AI-generated note giving plain-English context, written only from that row's parsed fields: where the 10b5-1 flag or the transaction code (F, A, M or G) has a defined meaning, the note states that meaning as a fact about the filing, without calling the transaction routine or significant. The note does not see the filing's footnotes. Only filings where the company you asked about is the issuer are returned: a company's own filings as an insider in another company are excluded. It is a lookup: it answers when you call it and does not push new filings to you (SEC's own EDGAR company search can be subscribed to as a feed of a company's latest filings, filtered by filing type).

Example

Request

GET /insider-transactions?ticker=AAPL&limit=5

Response

Captured live 2026-09-24 from the request above, values unedited. EDGAR is read per request, so a call today returns that company’s current filings; the AI note is written fresh each time.

Insider transactions reported on Form 4 can reflect many benign, routine reasons -- tax planning, portfolio diversification, options expiring, compensation-related withholding, or a pre-scheduled Rule 10b5-1 trading plan set up long before this transaction -- as well as potentially more significant signals. This output does not and cannot determine which applies to any specific transaction. Verify directly with SEC EDGAR (https://www.sec.gov/cgi-bin/browse-edgar) before relying on this for any investment decision. Amended filings (Form 4/A) are not read: an amendment supersedes the transaction it corrects, so a transaction shown here may have been amended and the correction is not reflected. Only the company's recent filing list on SEC EDGAR is read, and within it only the newest Form 4 filings up to the requested limit, so older insider transactions are not shown. A Form 4 in that list where the company is itself an insider (a reporting owner) of another issuer is left out, so fewer filings than requested can come back. When several reporting owners file one Form 4 jointly, each transaction is shown under the first-listed owner only; the others are named on the filing itself (filing_index_url).",

Key features

  • Live per-request query against SEC EDGAR, never a bundled snapshot
  • Role, transaction type and the 10b5-1 flag parsed from the filing itself, never inferred by the AI — a footnote that denies a plan reads as a denial
  • AI context note written from the transaction's parsed fields, with a guard that blocks advice, signals and forecasts
  • Ticker or CIK lookup, with automatic dot/hyphen share-class handling (e.g. BRK.B / BRK-B)

Pricing

A free tier of 20 requests a month covers light testing, no card required. Paid plans start at $49/month for 1,000 lookups and are hard-capped — calls stop at the limit rather than billing you. Only the top plan (10,000 lookups) runs on a soft limit, with overage at $0.02 per additional lookup beyond it.

This output is informational only. It is not investment advice, and it is not a recommendation to buy, sell, or hold any security. Insider transactions reported on Form 4 can reflect many benign, routine reasons — tax planning, portfolio diversification, options expiring, compensation-related withholding, or a pre-scheduled Rule 10b5-1 trading plan set up long before this specific transaction — as well as, in some cases, more significant signals. This API does not and cannot determine which applies to any specific transaction. Verify directly with SEC EDGAR before relying on this for any investment decision.

Only EDGAR’s “recent” filing window is read, and amended filings (Form 4/A) are not read. An amendment supersedes the transaction it corrects, so a transaction returned here may since have been amended and the correction will not appear. Filings in which the company is a reporting owner in another company are excluded, and in a joint filing every transaction is attributed to the first-listed reporting owner. Every response says all of this in its disclaimer field.

What a row does not carry: footnote text and remarks, exercise and expiration dates, the underlying shares of a derivative row, and Forms 3, 5 and 144. Holdings are the holdings on that row’s ownership line, direct or indirect, not the insider’s total position. Insiders have two business days after most transactions to file, so the newest trades may not be filed yet; each row carries both transaction_date and filing_date.

How each of these is handled, with the filings that show why, is written up for anyone parsing Form 4 themselves: Parsing SEC Form 4 XML: Nine Traps in EDGAR’s Filing Data

How common two of those traps are across a whole quarter of filings, with the method and downloadable data: SEC Form 4, 2026 Q2: issuer-as-owner filings, flag spellings and filing timing.
